合伙企业的注册资本为10万元，其中甲出资4万元，乙出资3万元，丙以一批桌椅出资，作价1.8万元，丁以劳务出资，作价1.2万元。甲、乙、丙实际缴付各自出资的70%以上即可。未缴付部分何时缴付视情况而定。
合伙企业的利润分配按照甲45%、乙35%、丙20%进行；合伙企业的亏损分担按照甲 35%、乙25%、丙15%、丁25%进行。合伙人对合伙企业债务以以上约定份额承担责任，并以合伙企业财产为限。
甲和丁为合伙企业事务的执行人，对外代表合伙企业，其权限为： (1)负责企业的日常管理；(2)负责对外交易、订立合同；(3)改变合伙企业的名称；(4)必要时，聘任合伙人以外的人担任合伙企业的经营管理人员。乙和丙不参与合伙企业的日常经营管理，但有权了解经营状况，监督甲和丁执行合伙企业事务的执行情况。
合伙人依照本协议之规定退伙的，对退伙前合伙企业的债务在退伙后两年内，须继续承担连带责任；两年后，则不再承担连带责任。
