荣昌针织总厂(以下简称“荣昌厂”)始建于50年代初期，属地方国有企业，因经营管理不善，长期亏损，已严重不能清偿到期债务。1996年9月1日，该厂向人民法院提出了破产申请，人民法院受理此案后，依照法定程序，于1996年12月20日宣布荣昌厂破产，并于同年12月25日成立了清算组接管荣昌厂。随后，清算组对荣昌厂的财产进行了清理，有关清理情况如下：
(1) 荣昌厂资产总额为6000万元(变现价值)，其中：流动资产1000万元，长期投资800万元，固定资产4000万元，其他资产200万元；负债总额为12000万元，其中：流动负债11000万元，长期负债1000万元。
(2) 荣昌厂流动负债的具体情况为：
①应付职工工资及劳动保险费用200万元，应交税金500万元。
②短期借款4200万元。其中：1995年10月5日，以荣昌厂厂房A、机器设备作抵押，向中国建设银行荣昌支行共贷款2200万元；1996年2月1日向中国工商银行荣昌支行信用贷款2000万元。
③应付账款3100万元。其中包括但不限于：(a)欠宏达公司 1994年9月到期货款160万元。宏达公司经多次催要无效后，起诉于人民法院，1996年8月2日，人民法院经过二审审理，判决荣昌厂支付宏达公司欠款及违约金和赔偿金等共计200万元，随后将荣昌厂办公楼予以查封，拟用于抵偿宏达公司的债权。人民法院受理荣昌厂破产申请时，此判决正在执行之中。(b)欠华天公司1995年6月到期货款100万元。华天公司经多次催要无效后，于1996年8月10日起诉于人民法院。人民法院受理荣昌厂破产申请时，此案正在审理之中。(c)欠万达公司1996年5月5日到期的货款150万元。1996年6月5日，应万达公司的要求，荣昌厂与万达公司签订了一份担保合同，担保合同约定：若1996年8月5日荣昌厂不能支付万达公司150万元欠款，则以荣昌厂厂房B折价抵偿万达公司欠款。(d)其他流动负债合计3000万元。
(3) 经评估确认：荣昌厂厂房A变现价值为500万元，厂房 B变现价值为200万元，办公楼变现价值为300万元，机器设备变现价值为1400万元。
(4) 荣昌厂在破产程序中支付的破产费用为100万元。
